Who we are and definitions
Nexym is a platform of Wedigify B.V. (“Nexym”, “we”). These terms apply between us and the organisation for which a project has been created on Nexym (“customer”, “you”).
Platform or hub: the Nexym hub with integrations, API, embed script and dashboard. The hub fetches products, stock, orders, customers and documents from your systems, converts them to one format and passes them on according to the integrations and rules you set.
Module: a separate function on the hub, such as chat, site search, reviews, feeds, popups or segments. You switch a module off, to test mode or live per project.
Free module: a module without a price. It needs no free trial days and is never on your invoice.
Project: the customer's environment on the platform, with one or more websites or domains.
User: a person who has access to the platform on behalf of the customer.
Test mode: a module runs only for you and your team (in the dashboard, on your project's test addresses or with a test link) and does not reach your visitors and customers. In test mode you create one of whatever the module makes, such as one feed or one segment. What test mode costs is set out in articles 4 and 5.
Build week: a defined assignment of five working days for custom work.
Applicability and acceptance
These terms apply to all use of the platform, the modules and build weeks. The customer's purchasing or other terms do not apply.
The data processing agreement and the list of sub-processors apply to personal data. The AI addendum applies to what is sent to AI models. In case of conflict, those documents take precedence over these terms.
An admin of your project accepts these terms, the data processing agreement and the list of sub-processors in the platform. Until that has happened, you cannot use your project. Whoever accepts declares that they are authorised to do so. We record who accepted, in which role, which version, when and from which IP address.
Account and access
You manage who has access. Users are invited by e-mail and get a role: admin, customer, viewer or module user. A viewer can only look; a module user only sees the modules you assign.
Two-step verification is mandatory for everyone who can change something in your project, such as admins and customers. Every user chooses a new password every six months. You can restrict access to the dashboard to known IP addresses.
You are responsible for your users, their passwords, your API keys and the domains the embed script runs on. You enter the credentials of your connected systems; we store them encrypted and use them only for the integration you set up.
A partner or agency only gets into your project when an admin of your project approves it. That admin chooses what the partner may do (setup, support or advice; never admin) and can always revoke the access.
Trial period and test mode
A new project gets 30 days of free access to the hub and all modules, with €5 of AI credit from us. You do not need a payment method to start.
When the AI credit runs out, AI pauses until you add a payment method; with a payment method AI continues and you pay for what you use beyond the credit. AI with your own key does not count. Whatever is left of the credit expires at the end of the trial period.
You can choose a subscription during the trial period. You then pay nothing until the trial period is over: your subscription starts on the day after it (article 5).
With a payment method, your project continues after the trial period as a paid subscription, with the modules you choose. Without a payment method it stops at the end of the trial period: the modules pause, the dashboard can only be viewed and the only thing you can do is choose a subscription. You receive reminders after that. If you do not choose a subscription, we may delete the project with all the data in it.
One trial runs at a time. While your trial period runs, a module gets no trial of its own, even if you have already chosen a subscription: a module you switch on or put in test mode then is included until the last day of the trial period and invoiced after it.
After the trial period, every module except free modules gets 0 free days, once. They start the first time you put the module in test mode or live, and cover both together. If you put the module live, it stays on as a paid module after those days, unless you switch it off before they end. If it is in test mode at the end and you do not choose to continue, it switches off without an invoice. A module that was on or in test mode before, also during your project's trial period, or that already had free days, gets none again: you pay for it from the day you switch it on.
Test mode is meant for trying things out, not for your visitors. During the trial period and a module's free days, test mode is free; after that a module in test mode costs the same as live.
Prices and invoicing
You pay a fixed amount per month for your subscription (the hub), an amount per module that is live or in test mode (except free modules, and not during the trial period or a module's free days) and an amount for websites, domains and connections beyond what your subscription includes. Current prices are on nexym.nl/prijs and in the platform.
If the price list says a module is priced per site, you pay that price for every website of your project (every domain, every store and every language). For the other modules you pay the price once; if your subscription charges a percentage for an extra website, the same percentage of the module price is added for every extra website beyond what your subscription includes. We count your websites as they are in your project on the day we invoice the month.
Usage above your subscription's allowance, in records and requests, is charged per month according to the tiers on the price list. Above the highest tier we charge per block, and a started block counts as a whole block. AI is charged separately (article 6). If we have agreed fair use for your project, usage above the allowance is shown on the invoice, but you do not pay for it.
The first invoice comes on your subscription's start day: the fixed costs until the end of that month, pro rata per day. If you choose your subscription after the trial period, the start day is the day you choose it and you pay that invoice straight away. If you choose it during the trial period, the start day is the day after the trial: that day we send the invoice and collect it.
If a module stays on after its free days, we send an invoice for that module until the end of that month, pro rata per day, on the next day, and collect it the same day.
After that we raise one invoice on the 1st of each month: that month's fixed costs in advance, and the previous month's usage and AI in arrears. If you switch a module on in the middle of a month, the days it was on are on the invoice of the following 1st. A free module is never on the invoice.
If you pay per year, we invoice the fixed costs twelve months in advance, with 10% off your subscription, your modules and extra websites and domains. That discount does not apply to connections, usage and AI. A project discount we agree with you applies to the modules only. Both discounts are calculated on the regular price and add up; one is not applied on top of the other.
Prices exclude VAT. You pay by direct debit or credit card through our payment provider; we collect an invoice on the day we send it. Paying on account is only possible when we have enabled it for your project. An invoice on account is never collected: you transfer the amount within 14 days.
If a collection fails, we try twice more within a week and you receive an e-mail each time. If the last attempt fails too, you receive a final reminder. If the invoice then remains unpaid, we may decide to suspend your access; the platform does not do so by itself.
If we change our prices, we let you know at least 30 days before the new price appears on your invoice. If you do not agree, you can cancel before the change takes effect.
AI
We charge AI usage per processed token, at the AI rates shown in the platform. If you use your own key from an AI provider, that provider invoices you directly and we charge nothing for that usage.
AI has a monthly budget. Your project has a default budget that you can change. When it is reached, what you have set happens: a warning only, pausing the chat or pausing all AI. AI with your own key is not counted.
You check AI output, such as texts and answers, before relying on it. What is sent to AI models and what happens to it is set out in the AI addendum. We do not use your data to train AI models.
Build weeks and custom work
A build week has a fixed price and a scope that we lay down in writing beforehand.
What works at the end of the build week is yours: you get it as a module in your hub. Running and maintaining it then costs a monthly price as agreed.
Further development happens in a new build week or as a standard module.
Availability and support
We aim for 99.9% availability per month. Our status page shows how the platform is running. We announce planned maintenance there at least 48 hours in advance.
Synchronisation runs on a schedule, not in real time. Each run fetches what has changed since the previous one, so a record that misses a run goes along with the next one.
We depend on the APIs of your systems and on AI providers. Outages, limits or changes on their side are beyond our control. An outage in a connection is shown in the platform with that connection.
To keep the platform fast for everyone, usage limits apply, such as a maximum number of API requests per minute and e-mails per hour and per day.
Support via support@nexym.nl on working days from 9:00 to 17:00; we also handle critical outages outside those hours.
Your data
All data in the hub is and remains yours. We process it only to make the platform work for you, never for our own purposes.
While the agreement runs, you retrieve your data through the API and the exports in the platform, such as the exports in the modules and the export of all data of one customer or visitor.
Retrieve your data before the agreement ends. Within 30 days after the end we delete your project with all the data in it, except what we are legally required to keep. We carry out that deletion ourselves; at your request we do it sooner.
What we expect from you
You use Nexym only for your own organisation and in accordance with the law, including the GDPR and the rules for your own website, such as cookies, consent and transparency about chatbots.
You are responsible for the correctness of your integrations, mappings and rules, and for what you have sent to your systems. The platform does what you set.
You report abuse or a suspected leaked key to us immediately.
Liability
Our liability is limited to the amount you paid us in the six months before the damage.
We are not liable for indirect damage, such as lost revenue, incorrect AI answers to your visitors, or errors in data that come from your systems or are caused by your settings.
These limitations do not apply in case of intent or deliberate recklessness.
Term, cancellation and suspension
A monthly subscription runs per month and is renewed automatically. You cancel it as of the end of a month, by e-mail to support@nexym.nl; we process your cancellation and confirm it. You cannot cancel the subscription in the platform itself.
A yearly subscription is renewed per year. You cancel it the same way as of the end of the paid year; what has been paid in advance is not refunded.
You switch a module off yourself whenever you like; it stops at once. What has already been invoiced for that month is not refunded, and after that you no longer pay for it. The module's data stays.
We may suspend access in case of non-payment after a final reminder, abuse or an acute security risk. That is our decision; the platform does not do it by itself. We may terminate the agreement with two months' notice.
Changes and governing law
We may change these terms. We announce a new version by e-mail at least 30 days before it takes effect. From that date the platform asks an admin of your project to accept again; until that has happened, you cannot use your project. If you do not agree, you can cancel as of the date the change takes effect.
Dutch law applies to this agreement. We submit disputes to the court in Rotterdam, after first trying to resolve them together.
